Service Description

The Client will be provided with Business Coaching and Consulting on an ongoing subscription basis according to the selected package. The purpose of these sessions is to help the Client gain clarity on business direction, support the setting of strategic goals, and maintain accountability for results. Services include, but are not limited to: brainstorming, action planning, motivation strategies, and inquisitive analysis to help the Client achieve high-level objectives.

The Strategy Builder Assessment is limited to one (1) per Client per lifetime. As aptitudes typically stabilize by age 14, this assessment is intended as a permanent foundational record and is non-transferable.

Terms of Engagement

Services are provided via virtual meeting platforms (Google Meet) unless otherwise specified. Meeting links are provided within each calendar invitation. If the Client does not join the meeting within ten (10) minutes of the scheduled start time, the appointment is considered a “no show” and the session fee is nonrefundable.

This Agreement is non-exclusive; either Party may engage third parties for similar services during or after the Term.

The Client bears sole responsibility for ensuring that the frequency and quantity of sessions included in their selected package are utilized during the term of their agreement. Unused sessions do not constitute a credit toward future terms or a basis for refund.

Independent Contractor Status

The Coach (Kris Fleming) acts as an independent contractor, not an employee. This Agreement does not create a partnership or joint venture. The Client is not responsible for any tax contributions, insurance premiums, or employee benefits for the Coach. The Coach is solely responsible for all reporting and tax requirements related to payments received under this Agreement.

Payment & Subscription Authorization

Fees are auto-drafted monthly according to the selected package. By confirming your subscription, you allow The Genius Cultivator to charge you for future payments in accordance with these terms. Upon completion of the initial commitment, all packages transition to a month-to-month renewal to ensure uninterrupted support.

Cancellation Policy

To pause or conclude membership during the month-to-month phase, please provide notice at least ten (10) days prior to the next scheduled draft. Refund requests for unused services must be submitted within 30 days of the most recent month-to-month payment. Refunds requested more than 30 days past the date of payment, or for services already rendered, will not be issued.

Refunds

Coaching is a non-refundable service. Refund requests may be reviewed in extraordinary circumstances on a case-by-case basis at the discretion of the Coach.

Confidentiality

The Coach agrees to protect all proprietary Client data—including accounting records and business processes—and will not disclose such information except as required by law. This obligation survives the termination of this Agreement indefinitely.

Safety Disclosure & Mandatory Reporting

While privacy and mutual respect are of utmost importance in all interactions, the Coach is bound by ethical and legal safety standards. Any reports of immediate harm or danger to oneself or others, and/or confessions of criminal activity, will be reported to the appropriate authorities immediately.

Intellectual Property

All material produced under this Agreement remains the property of the Coach. The Client is granted a non-exclusive, limited-use license for such materials. Title, copyright, and distribution rights remain exclusively with the Coach.

Limitation of Liability & Disclaimers

The Genius Cultivator LLC and Kristin “Kris” Fleming do not guarantee results; outcomes depend on the Client’s commitment to action. The Client agrees to hold the Coach free of liability for adverse reactions resulting from advice given.

Professional Boundaries

The Coach is NOT an Attorney, Certified Professional Accountant, Certified Financial Planner, Medical Professional, or Mental Health Professional. Information shared is not legal, tax, or investment advice. The Client should consult with qualified professionals before acting on financial or legal matters.

Indemnification

Each Party agrees to indemnify and hold harmless the other against any claims, losses, or expenses resulting from acts or omissions in connection with this Agreement, except to the extent covered by applicable insurance.

Dispute Resolution

This Agreement is governed by the laws of the State of Tennessee. If any provision is held invalid, the remainder of the Agreement remains enforceable.

Termination & Modification

Either Party may terminate this agreement at their discretion. The Coach reserves the right to collect all agreed-upon payments in the event of early termination. Modifications to these terms may occur at the discretion of the Coach with notice provided to the Client. The relationship remains active as long as both parties adhere to professional standards. The Coach may terminate the relationship for lack of payment, failure to follow guidelines, or Client indifference toward agreed-upon steps.
